Terms of Service

Draft for legal review. What this describes about the platform is accurate — it was written against the system as built. The operating entity's legal identity, the governing-law clause and the dispute forum are pending and marked below.

These terms govern your use of Mahsool. By creating an account you accept them. If you do not accept them, do not use the platform.

1. What Mahsool is, and is not

Mahsool lists agricultural projects. For each project, a separate Egyptian joint stock company is formed to own one parcel of land, and investors subscribe for shares in that company.

Mahsool is a service company. We source land, arrange the formation of the project company, introduce investors to it, and manage the farm under a contract with that company's board. We are paid fees by the project company for that work.

We are not a bank, a deposit-taking institution, a fund, a fund manager, or a broker. Mahsool is not licensed by the Financial Regulatory Authority, and nothing offered here is a regulated investment product. The protections that attach to licensed products do not attach to this.

We never hold your money. Subscription money moves from your bank account to the project company's own account. Mahsool has no wallet, holds no balance for you, and has no access to those funds.

What a share gives you. Shares in the project company carry the rights an Egyptian joint stock company confers: a proportional claim on dividends the company declares and on its assets on winding up, a vote at general meetings, and a say in electing its board. They do not give you title to a demarcated piece of land, a right to occupy or farm any part of the parcel, or a right to have it divided. The company owns the parcel as one undivided asset.

2. Eligibility

You must be at least 21 years old and legally able to enter a contract. One account per person. You must give accurate information and keep it current. Accounts opened with someone else's identity, or used on someone else's behalf without disclosing it, will be closed.

3. Your account

You are responsible for what happens under your account. Keep your password and your one-time codes to yourself — we will never ask you for either.

Tell us immediately if you believe someone else has access. We may suspend an account to protect it, to comply with a legal obligation, or where we reasonably suspect fraud, money laundering or abuse. Where we suspend an account we will tell you, unless telling you is itself prohibited.

4. Verification

Email confirmation is required before you can register interest in a project.

Identity verification (KYC) is required before you can be admitted to a subscription. We collect it because Egyptian AML rules require it, and because your national identity document is what allows the project company's registrar to obtain your shareholder code from the central depository on your behalf. We may refuse a subscription where verification fails or a screening check flags a match.

5. Expressing interest, and being admitted

Registering interest in a project is not an offer, an application or a commitment by either of us. It is an indication, and it costs nothing.

Subscriptions are made privately, to individually admitted people. We decide whom to admit and we may decline without giving reasons. Being admitted does not oblige you to subscribe.

6. Subscribing

Before you sign, the project company's subscription documents state the share price, the minimum subscription, the capital-call schedule, the fees, and what the company holds by way of title.

Applications may be scaled back or declined. Your subscription is not accepted until shares are allotted to you. Where a project does not reach its stated minimum by its stated date, subscriptions are returned and no company obligation arises.

Payment. You transfer from your own bank account to the project company's account, quoting the payment reference on your subscription. The company reconciles it against its bank statement. Mahsool does not receive, hold or route that money.

Fees. Mahsool's fees are invoiced to the project company for sourcing, formation, administration, management and crop marketing. They are disclosed in full before you sign. They are not deducted from what you transfer; they reduce what the company has available to distribute.

7. Capital calls

Where a subscription is settled in stages, Egyptian company law permits share capital to be paid over time. The company publishes a schedule — every date and every amount — before you commit.

Capital calls are an obligation you have accepted, owed to the company. We remind you before each due date, on the date, and if it passes. Persistent non-payment has consequences set out in your subscription documents and can affect your shareholding.

8. Your shares are illiquid

There is no market in these shares and no redemption. Neither the company nor Mahsool will buy them back. You can exit only by finding a buyer yourself, and any transfer is subject to the other shareholders' pre-emption rights and to the board's approval.

The company's constitutional documents do not cap any shareholder's stake. Mahsool applies a limit when shares are first issued, but shares can move afterwards by transfer or inheritance.

9. Management of the project

Mahsool manages the farm under a written contract with the project company's board, and reports to that board. Operational farming decisions are ours under that contract. The board — elected by the company's shareholders — holds us to it and may replace us on the terms set out in the management agreement.

10. Returns are targets

Every projection on this platform is a target based on the farming plan. It is not a promise, a guarantee, or a forecast we stand behind. Agriculture depends on weather, water, pests, disease, labour and market prices, and any of them can reduce or eliminate a return.

You can lose money, including all of it. The risk disclosure sets this out in detail and forms part of these terms.

Past performance of any project or of the platform says nothing about a future one.

11. Content and conduct

The platform, its text, images and data are ours or our licensors'. You may read and use them to make your own investment decisions. You may not scrape them, resell them, or present them as your own.

Do not attempt to break, probe or overload the platform, and do not use it to launder money or to invest funds that are not yours to invest.

12. Our liability

We operate the platform with reasonable skill and care. We do not promise it will be uninterrupted or error-free.

We are responsible for our own failures in running the platform and in performing our management obligations. We are not responsible for the commercial outcome of a project — that is the investment risk you accepted — nor for losses caused by your own act, by a third party you authorised, or by an event outside our reasonable control.

Nothing here limits liability that cannot lawfully be limited, including for fraud, gross negligence, or for death or personal injury caused by negligence.

13. Changes

We may change these terms. Where a change materially affects your rights we will tell you in the app and by email before it takes effect. Continuing to use the platform after that is acceptance. A change to fees never applies to a subscription you have already signed.

14. Closing your account

You may close your account from your profile at any time. An account holding shares, or with a subscription in flight, cannot be closed immediately — those positions have to run their course or be transferred first, and support will walk you through it.

Closing your Mahsool account does not affect your shareholding in a project company. That is a matter between you and that company, and it is recorded at the central depository, not by us.

We keep records after closure for as long as Egyptian financial and AML law requires. The privacy policy explains for how long.

15. Regulation, law and disputes

Mahsool is not licensed or supervised by the Financial Regulatory Authority or by any other financial regulator. We are engaging with the Authority openly about this model. If our regulatory status changes, we will say so here.
